The Bethesda INSIDERS Program (the "Program") is an educational site at insiders.bethsoft.com (the "Site") provided by ZeniMax Media Inc. ("ZeniMax" or "Sponsor") for eligible US retail employees who interface with and support consumers in software selection and purchase. Eligible persons can use the Program and learn about the benefits of ZeniMax products, and, from time to time as specified by Sponsor, accumulate Program "XP" that can be redeemed in the Program's redemption website for merchandise and services ("XP Store"). Eligible persons may also be given the opportunity during the Program to participate in Program contests and potentially other Program promotions.
Member registration and enrollment in the Program is voluntary. Time spent on the site is not to be classified as a reimbursable expense. This site is intended as a resource for individuals who are looking for additional information.
Membership in the Program is limited to legal US resident persons who have reached the age of 17 as of the date of their registration, currently registered, enrolled and in good standing in the Program, and who are retail employees of a retailer ZeniMax has authorized to offer ZeniMax (including its affiliates) products and services in the United States or Canada (an "Authorized Retailer"). An individual may register and accept enrollment in the Program only if permitted by retailer, state and local laws, rules and regulations. Individuals are responsible for compliance with any policies required of their retail employer, establishment or other authority.
Some Authorized Retailers have policies permitting employees to engage in online training exercises, but restrict employees from exchanging XP for merchandise, services, or entering sweepstakes, contests, or other promotional activities. If your Authorized Retailer has such a policy, you may not exchange XP or enter contests or other Program promotions on this Site. If you have any questions about your eligibility, please contact your employer to confirm that (a) your employer is an Authorized Retailer, and (b) your employer's policies allow you to exchange XP and/or enter contests or other Program promotional activity on this Site.
Employees, affiliates, agents and independent contractors of ZeniMax and the immediate family members of any of the foregoing (unless a family member is an employee of an Authorized Retailer) are not eligible to exchange XP or enter contests or other Program promotional activity on this Site.
Each participant agrees to provide true and accurate information to register, enroll, and participate in the Program and agrees to revise his or her registration or other Program-related information in a timely manner to ensure that the information provided in connection with the Program is at all times updated and accurate. ZeniMax is not responsible for contacting any Member by any means if that Member failed to provide ZeniMax with the accurate and proper contact information.
Accounts; XP; Redemption, Forfeiture and/or Termination.
Each Member is permitted to create only one (1) account to access program contents and receive information via your designated email address (an "Account"). Multiple and/or fraudulent identities, emails, or accounts, or the use of any device or artifice to obtain more than the permitted number of Accounts or XP will prohibit your subsequent attempts to access the Program and utilize the Site.
XP are non-transferable and are redeemable only for available merchandise on the XP Store ("Reward(s)") and are only available in the United States or Canada. Rewards are limited and the offer of any Reward is good only while supplies last. Members may redeem only one (1) SKU of any Reward and ZeniMax reserves the right to discontinue, add, or remove any Reward offer or substitute any Reward with another comparable item. All purchases made on the XP Store are considered final and subject to availability and quantity. Shipping and Handling costs may apply. XP have no cash value, and cannot be purchased or redeemed for cash or credit. The XP Store, Rewards and any sweepstakes, contests, or other Program promotional activities relating to this Program are void where prohibited by law.
ZeniMax does not provide any warranties for Rewards or prizing associated with the Program other than a warranty labeled "Limited Warranty" delivered with any item made by ZeniMax (in which case that is the only warranty provided). UNLESS YOU ARE PROVIDED SUCH A LIMITED WARRANTY, THIS SITE AND ALL REWARDS AND PRIZES ARE SUPPLIED AS IS, AS AVAILABLE AND WITH ALL FAULTS, to the fullest extent allowed by applicable law. EXCEPT AS EXPRESSLY PROVIDED OTHERWISE, ZENIMAX DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ALL WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF INFORMATION, MERCHANTABILITY, NON-INFRINGEMENT, TITLE AND QUIET ENJOYMENT. If a Reward or Sweepstakes prize comes with a warranty from someone other than ZeniMax, you may benefit from that warranty in accordance with its terms, but you agree that neither ZeniMax nor any of its affiliates, subsidiaries, directors, officers, employees, agents or contractors shall have any liability regarding that warranty.
XP will expire upon six months of inactivity or immediately upon the closing of a Member's account. Please Note: A Member must meet all eligibility criteria in order to redeem your XP.
Any unused XP will automatically expire and revert to ZeniMax after your employment with an Authorized Retailer is terminated for any reason. As a convenience to a Member, ZeniMax may, in its sole discretion, provide Member with advanced notice of termination. No Member should rely upon the continued availability of the Program or any XP accumulated in connection therewith.
All actions or activities undertaken using a Member's Account, including security of the username and password, are the Member's sole and exclusive responsibility and liability. ZeniMax will have no responsibility or liability therefore. ZeniMax will not be responsible or liable for any activity due to a Member's failure to sign-out of a Program Site session. Members are solely responsible for any fraudulent or unauthorized use of their Account and XP that may occur due to the theft or loss or third-party disclosure of any Account information.
The Program will continue to be offered until ZeniMax gives 30-day advanced notice of termination of the Program via posting on the Site ("Notice to Terminate"). XP may be redeemed for 30 days after the Notice to Terminate ("Effective Date of Termination") after which 30th day any remaining XP accumulated will be forfeited. Notwithstanding the foregoing, however, ZeniMax shall not be required to give notice if such termination is due to the filing of a petition in bankruptcy, an adjudication of bankrupt, insolvency, an assignment for the benefit of creditors, or any other discontinuance of business. No Member should rely upon the continued availability of the Program or any XP accumulated in connection therewith.
Ownership; License to Use Site
Member agrees that title, ownership rights, and other intellectual property and proprietary rights in the Program shall remain in ZeniMax and/or its licensors and suppliers. Member acknowledges that the content of this website and the Program, including but not limited to text, sound, photographs, graphics, trailers, software or other material contained in the Program, Site, and other authorized electronic communications is copyrighted by ZeniMax, its affiliates and/or its licensors and suppliers under United States and international copyright laws, is subject to other intellectual property and proprietary rights and laws, and is owned by ZeniMax, its affiliates, or its licensors and suppliers.
Exclusive Remedy and Liability Limitations
You agree to release, defend, indemnify and hold harmless ZeniMax, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees and agents (collectively "Indemnities"), from and against, and accept all responsibility of any kind, including but not limited to financial, for any liability, claims, losses, damages or proceedings, including but not limited for death, (including reasonable attorneys' fees) relating to any actions taken by you or anyone else using your Member account (whether or not such use occurred with or without your permission), including but not limited to accrual and redemption of XP, and disclosure of Membership passwords. You also agree to release, defend, indemnify and hold harmless the Indemnities from any and all liability, claims, losses, damages or proceedings, including but not limited for death (including reasonable attorneys' fees) relating to XP, Rewards and any other matter in connection with your participation in the Program.
